General Terms and Conditions for the Platform 3forone.auction

1. GENERAL PROVISIONS AND SCOPE

1.1 Scope and Applicability
These General Terms and Conditions (“Terms”) govern the use of all services on 3forone.auction, an online platform operated by 3forONE AG, Obere Paulistrasse 13, 8834 Feusisberg, Switzerland (“3forONE”), for the execution of online and hybrid auctions in cooperation with various auction partners.
These Terms take effect upon registration or use of the platform and are binding for all users.

1.2 Contractual Parties and Purchase Agreements
The respective auction partner (e.g., {{name, legal form, address}}; “Auction Organizer”) is the sole contractual party in connection with the purchase of horses through the auction. 3forONE acts exclusively as a technical service provider and is not a contracting party to any sales or auction transactions.

1.3 Technical Role
3forONE provides the technical infrastructure (frontend, bidder interface, streaming/signaling, bid processing) and is responsible solely for the technical functionality of the platform.


2. SCOPE OF SERVICES

2.1 Technical Infrastructure
3forONE operates the platform 3forone.auction.
All auction content, catalog data, bidder approval/exclusion, bidding rules, knockdown (hammer), invoicing, and post-sale processing are the sole responsibility of the Auction Organizer.
3forONE has no influence over these aspects and assumes no liability for them.

2.2 Liability Framework of 3forONE
3forONE shall only be liable for damages resulting from intentional misconduct or gross negligence on its part.
Any liability for slight negligence, loss of profit, indirect or consequential damages, or actions/omissions of the Auction Organizer is excluded.
Mandatory statutory liability remains unaffected.

2.3 User Equipment
Users are responsible for providing and maintaining the hardware, software, and internet connection necessary to access and use the platform.
3forONE is not liable for interruptions or malfunctions resulting from the user’s equipment or third-party systems.

2.4 Livestream and Latency
The livestream may be subject to technical delays.
In all cases, the bidding system (bid mask) – and, for hybrid or on-site auctions, the official hall record maintained by the Auction Organizer – shall be decisive for the validity of bids.
3forONE is not liable for delays or failures caused by the user’s device or internet connection.

2.5 Bidding Recommendation
To avoid latency, users are advised to submit bids directly through the bid mask.
Bids based solely on the livestream image may be registered with a delay.

2.6 Time Coordination and External Influencing Factors

The timing of all auction processes is governed by a centrally managed internal time reference of the platform, which is solely authoritative for determining the beginning, progression and conclusion of bidding phases.

Time indications or displays on users’ devices may differ from this internal time reference due to individual settings, technical processes or external factors. Such deviations lie outside the responsibility of 3forONE AG and have no effect on the actual execution of the auction.

A bid is valid only if it is fully received and registered by the systems of 3forONE AG within the relevant time frame. Users are responsible for ensuring the proper functioning of their own technical environment.

3forONE AG accepts no liability for delays, inaccurate displays or any disadvantages arising from local time deviations, external influences or technical conditions beyond our control. The platform is operated with due care and in accordance with recognised operational standards; however, external factors cannot be fully excluded.

 


3. REGISTRATION AND USER ACCOUNT

3.1 Registration and Activation
Participation in auctions requires prior registration on 3forone.auction.
The activation or suspension of a user account for participation in a specific auction is determined solely by the Auction Organizer.

3.2 Bid Data and Display
During auctions, 3forONE processes, among other things, timestamps, bid amounts, and bid status (current bid / winning bid).
Notifications: Users receive email or on-screen notifications (e.g., bid placed, highest bidder, lot won). The Auction Organizer will subsequently contact the user for further processing.
Anonymous Display: Online bids are displayed anonymously with a country flag; in-hall bids are labeled “Hall.” No personal data or names are shown publicly.
Legal Basis: Processing is carried out for operational, security, verification, and quality improvement purposes (Art. 6 (1) (b) and (f) GDPR). Further details are provided in the Privacy Policy.

3.3 Data Accuracy
Users must keep their account information accurate and up to date.
3forONE is not responsible for any disadvantages arising from outdated or incorrect data.

3.4 False Information
If false or misleading information is provided, 3forONE may suspend or delete the user’s account.
Participation rules set by the Auction Organizer remain unaffected.


4. PARTICIPATION IN AUCTIONS

4.1 Conclusion of Contract
Upon a successful bid (hammer), a purchase contract is formed exclusively between the user and the Auction Organizer or seller.
3forONE is not a party to this contract.

4.2 Auction Rules
Each auction is governed by the Auction Organizer’s rules and conditions (e.g., minimum bids, increments, reserve prices, vendor bids, private treaty rules).
In the event of a conflict, these organizer-specific rules take precedence for the purchase relationship.

4.3 Bidding Process
Before submitting a bid, users must verify the displayed amount.
Clicking “Submit Bid” constitutes a binding bid.
Once placed, bids cannot be withdrawn or modified, unless expressly permitted by the Auction Organizer.

4.4 Authority of the Auctioneer and Handling of Online Bids

The conduct of the auction and all decisions regarding the acceptance, prioritisation, evaluation or rejection of bids lie exclusively with the auctioneer or the authorised personnel acting on site.
The platform implements these decisions technically and has no influence on their content or formation.

This includes, in particular, the authority to prioritise floor bids over online bids and to reset, remove or disregard online bids upon instruction of the auctioneer or authorised personnel— even where the system may previously have issued automatic notifications such as confirmations or highest-bidder messages.

Such system notifications are for information purposes only and do not constitute any binding entitlement to recognition, consideration or award of a bid.

Users have no claim to the acceptance or evaluation of any online bid if the auctioneer makes a differing decision.
All liability of the platform operator for the rejection, non-consideration, deletion or invalidation of online bids is excluded.


5. LIABILITY AND INDEMNIFICATION

5.1 Liability of 3forONE
Liability is limited to intent and gross negligence on the part of 3forONE.
3forONE accepts no responsibility for actions or omissions by the Auction Organizer, auction content, catalogs, bid acceptance, contract performance, or the buyer’s creditworthiness.

5.2 Liability of the Auction Organizer
The Auction Organizer remains solely responsible for the auction’s content and execution.
Any claims regarding the sale, defects, withdrawal/warranty rights, payment default, or delivery/transport must be addressed directly to the Auction Organizer or seller.

5.3 Indemnification
Users shall indemnify and hold harmless 3forONE from any third-party claims arising from unlawful or contractually non-compliant use of their account.


6. COPYRIGHT AND DATABASE RIGHTS

6.1 Intellectual Property Rights
All content on the platform (software, databases, text, images, live data) is protected by intellectual property and database law.
All rights are held by 3forONE or respective rights holders.

6.2 Permitted Use
Use of platform content is limited to its intended purpose.
Any reproduction, extraction, or redistribution requires prior written consent from 3forONE.


7. TERM AND TERMINATION

7.1 Duration
The user agreement remains in effect for an indefinite period.

7.2 Termination by the User
Users may delete their account at any time.
Existing obligations arising from already concluded purchase contracts remain unaffected.

7.3 Termination or Suspension by 3forONE
3forONE may terminate the agreement without notice or suspend access in the event of a breach of these Terms or misuse of the platform.


8. FINAL PROVISIONS

8.1 Amendments to the Terms
3forONE may amend these Terms at any time with future effect.
Changes will be communicated via email or displayed upon the next login.
If users do not object within two weeks, the amended Terms are deemed accepted.

8.2 Assignment
Rights or obligations arising from this agreement may not be assigned or transferred without the prior written consent of 3forONE.

8.3 Governing Law and Jurisdiction
These Terms are governed exclusively by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
Where legally permissible, the place of jurisdiction is Feusisberg, Switzerland.

8.4 Validity of the Current Version
Only the current version of these Terms shall apply.
Upon publication of a new version, all previous versions become void.

8.5 Data Protection
3forONE processes personal data in accordance with applicable data protection laws.
